Terms of Service for Tokenthon
Effective Date: 3 November 2025
Welcome to Tokenthon. These Terms of Service ("Terms") are a binding legal agreement between you ("User," "you," or "your") and Tokenthon, an unincorporated general partnership operating from Singapore ("Tokenthon," "we," "us," or "our").
By creating an account, clicking "I agree," or using the website or API services provided by Tokenthon (the "Service"), you agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference.
IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.
1. Eligibility and Accounts
Age Requirement:
You must be at least 18 years old and the age of legal majority in your jurisdiction to use our Service. By using our Service, you represent and warrant that you meet this requirement.
Account Creation:
You must create an account to access the Service, for example, by using Google Oauth or other methods we may provide.
Account Security:
You are solely responsible for your account and API key. All activity conducted through your account will be deemed your activity. You must maintain the security of your account credentials (e.g., your Google account) and immediately notify us at tokenthon@gmail.com if you suspect any unauthorized use.
One User Per Account:
Your account and API key are non-transferable. They are licensed for your use only.
2. The Service
Service Description: Tokenthon provides a pass-through API service that allows you to access various third-party generative AI models (e.g., OpenAI) to generate text, images, code, and audio ("AI Output").
Service Plans: The Service is offered under various plans, including free and paid subscription plans. Each plan is subject to specific limitations (e.g., rate limits, features) as detailed on our pricing page.
Changes to Service: We reserve the right to modify, add, or remove features, plans, or rate limits at any time. We will provide you with reasonable notice (e.g., 1-2 months) for material changes to paid plans, where practicable.
3. Prohibited Conduct
Your right to use the Service is conditional on your compliance with these rules. You agree that you will not:
Share Your API Key:
API KEY SHARING IS STRICTLY PROHIBITED.
You may not sell, lease, sublicense, rent, or otherwise share your API key or account access with any other individual or entity. We reserve the right to use technical measures to detect such sharing.
Resell the Service: You may not resell or sublicense the Service to any third party without our explicit, prior written permission.
Technical Abuse: Reverse-engineer, decompile, or attempt to discover the source code of our Service; attempt to bypass rate limits or any security measures; or use the Service in a way that imposes an unreasonable load on our infrastructure.
Illegal and Harmful Use: Use the Service for any illegal, fraudulent, or malicious activity, including but not limited to:
Generating or disseminating malware, phishing, or spam.
Violating the rights of others, including defamation, harassment, or infringing on intellectual property.
Generating or promoting content that is hateful, discriminatory, or pornographic.
Engaging in any activity that violates any applicable local, state, national, or international law.
4. Third-Party Services (OpenAI & Others)
Dependency: You acknowledge that our Service is a pass-through API and is dependent on the availability of third-party services (like OpenAI) ("Third-Party Providers"). We are not responsible for any downtime, failures, errors, or content originating from these Third-Party Providers.
Flow-Down Terms: Your use of the Service is subject to the terms, usage policies, and restrictions of our Third-Party Providers. By using our Service, you explicitly agree to comply with all applicable terms of our Third-Party Providers, including (but not limited to) the OpenAI Usage Policies. Failure to comply may result in the termination of your account.
Data Passthrough: You understand that your inputs (prompts) will be transmitted to these Third-Party Providers to generate the AI Output. Our data handling practices are detailed in our Privacy Policy.
5. Payments, Subscriptions, and Cancellation
Payment Processor: We use Stripe, Inc. ("Stripe") as our third-party payment processor. Your payment is subject to Stripe's own terms and privacy policy. We do not store your full credit card details.
Subscriptions: Paid plans are billed on a subscription basis (e.g., monthly, yearly). Your subscription will auto-renew at the end of each billing period unless you cancel it.
Price Changes: We reserve the right to change our subscription prices. We will provide you with at least 30 days' notice of any price changes.
Plan Changes:
Upgrades: You may upgrade your plan at any time. The change will be effective immediately. We will charge you a prorated amount for the remainder of the current billing period.
Downgrades: If you downgrade to a cheaper plan or a shorter billing interval, the change will take effect at the end of your current billing period.
Failed Payments: If your payment fails, your account will be downgraded to the free plan. We will grant a grace period of seven (7) days for you to update your payment method before access to paid features is restricted.
NO REFUNDS POLICY:
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.
We will not issue refunds or credits for any partial subscription periods, unused services, or for accounts terminated due to a violation of these Terms.
Taxes: All fees are exclusive of applicable taxes (e.g., VAT, GST, Sales Tax). You are solely responsible for paying all such taxes associated with your subscription.
6. Termination
Termination for Cause (By Us):
API Key Sharing: If we detect that you are sharing your API key in violation of Section 3, we reserve the right to immediately ban and terminate your account with no warning and no refund.
Other Violations: We reserve the right to suspend or terminate your account immediately, without notice or refund, if you breach any other material provision of these Terms.
Termination for Convenience (By Us): We reserve the right to suspend or terminate your account or the Service for any reason or no reason, at our sole discretion, with or without notice.
Termination by You: You may cancel your subscription and terminate your account at any time. Your Service will remain active until the end of your current billing period.
Appeals: If you believe your account was terminated by mistake, you may appeal the decision by contacting us at tokenthon@gmail.com. We have no obligation to reinstate any account.
Effect of Termination: Upon termination, your license to use the Service ceases, and we may delete your account data. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, "Intellectual Property," "Disclaimers," "Limitation of Liability," and "Governing Law."
7. Intellectual Property (IP)
Our IP: We (Tokenthon and its partners) own all right, title, and interest in and to the Service, including our name, logo, website, and all underlying software and code (excluding third-party components). You may not use our branding without our prior written consent.
Your Input: You retain all ownership rights to the content and data you input into the Service ("Input").
AI Output: We claim no ownership rights in the AI Output generated for you. Subject to your compliance with these Terms and the terms of our Third-Party Providers (e.g., OpenAI), we assign to you all of our right, title, and interest (if any) in the AI Output. You are solely responsible for the AI Output and ensuring it is not used in violation of any laws or third-party rights.
Our License to Your Data: You grant Tokenthon a non-exclusive, worldwide, royalty-free, perpetual license to use your Input and AI Output in an anonymized and aggregated form for the purpose of operating, analyzing, and improving the Service.
8. Disclaimers
"AS IS" SERVICE:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NO GUARANTEES: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, BUG-FREE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM BIAS OR OFFENSIVE CONTENT.
AI OUTPUT IS NOT ADVICE: THE AI OUTPUT IS FOR INFORMATIONAL PURPOSES ONLY. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE (E.G., LEGAL, MEDICAL, OR FINANCIAL ADVICE). YOU ARE SOLELY RESPONSIBLE FOR ANY ACTIONS YOU TAKE OR DECISIONS YOU MAKE BASED ON THE AI OUTPUT.
THIRD-PARTY DISCLAIMER: WE ARE NOT RESPONSIBLE OR LIABLE FOR ANY HARM OR DAMAGES RELATED TO YOUR USE OF THIRD-PARTY PROVIDERS (LIKE OPENAI) OR YOUR INABILITY TO ACCESS THEIR SERVICES, EVEN THROUGH OUR API.
9. Limitation of Liability
INDIRECT DAMAGES: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOKENTHON OR ITS PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
LIABILITY CAP: TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TOKENTHON AND ITS PARTNERS FOR ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:
ONE HUNDRED SINGAPORE DOLLARS ($100 SGD); OR
THE TOTAL AMOUNT YOU PAID TO TOKENTHON IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Tokenthon and its partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) the AI Output you generate or your use of it.
11. General Terms
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
Dispute Resolution: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore.
Changes to Terms: We may modify these Terms at any time. We will post the revised Terms on our website and update the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
Entire Agreement: These Terms (and the Privacy Policy) constitute the entire agreement between you and Tokenthon and supersede all prior or contemporaneous understandings.
